These Terms and Conditions (the "Terms") govern the provision and use of transport, pickup, drop-off and related services provided by SMARTPICKUPS NIG LTD ("SMARTPICKUPS", "we", "us" or "our"). By booking, accessing or using any of our services you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Definitions

  • Company / We / Us — SMARTPICKUPS NIG LTD and its employees, agents and contractors.
  • Customer / You — any individual or entity that books or uses our services.
  • Services — transport, airport/office pickups, scheduled transfers, logistics and any ancillary services provided by SMARTPICKUPS.
  • Booking — any confirmed reservation for Services made via our website, app, phone line or authorized agent.

2. Scope of Services

SMARTPICKUPS provides point-to-point transportation services and related logistics. Services and service levels vary by vehicle type, route and booking options. We may subcontract or engage third-party providers to fulfil any booking.

3. Booking, Fares & Payments

  • All bookings must be made through our official booking channels (website, mobile app, phone or authorized agents).
  • Fares are calculated based on distance, time, vehicle class, route, tolls, parking, waiting time and any selected extras. Quoted fares are estimates until the booking is confirmed.
  • We may require full or partial payment at time of booking. Accepted payment methods include cash, bank transfer, POS, and approved electronic payment methods. Payment details are provided at checkout.
  • Customers are responsible for any additional charges incurred during the trip (extra stops, extended waiting time, additional passengers, fines resulting from customer behaviour, etc.).

4. Cancellation, No-shows & Refunds

  • Cancellations made at least 24 hours before scheduled pickup are eligible for a refund minus administrative fees (where applicable).
  • Cancellations less than 24 hours before pickup may incur a cancellation fee up to the full fare and are not guaranteed to be refunded.
  • No-shows (customer fails to appear at agreed pickup location/time) will be treated as cancellations without refund unless otherwise agreed in writing.
  • We reserve the right to cancel a booking due to safety, vehicle breakdown, driver unavailability, or force majeure; in such cases we will offer a full refund or an option to reschedule.

5. Customer Responsibilities

  • Provide accurate pickup and drop-off locations and any special instructions at time of booking.
  • Be ready at the pickup location at the scheduled time. If driver waits beyond an agreed grace period, additional waiting charges may apply.
  • Ensure all luggage and personal effects are secure. Inform the company of unusually large or heavy items prior to booking.
  • Comply with vehicle safety rules and the driver’s instructions while onboard. Smoking, possession of illegal drugs, and carrying prohibited items are strictly forbidden.

6. Company Responsibilities

We will:

  • Provide vehicles that meet minimum legal and safety standards and are maintained in roadworthy condition.
  • Employ appropriately licensed drivers and maintain applicable insurance policies as required by Nigerian law.
  • Make reasonable efforts to meet scheduled pickup and drop-off times but do not guarantee exact times due to traffic, weather, or other factors.

7. Luggage & Personal Belongings

  • Customers are responsible for their own luggage and personal items. SMARTPICKUPS is not liable for loss, theft or damage to personal property except where caused by proven negligence on our part.
  • Do not transport hazardous, illegal, flammable, or perishable goods in our vehicles. We reserve the right to refuse carriage of any such goods.

8. Liability, Insurance & Limitation of Liability

Subject to applicable law:

  • We maintain third-party motor insurance and any other insurance required by law. Insurance limits are subject to policy terms.
  • To the maximum extent permitted by law, SMARTPICKUPS’ liability for any loss, damage or injury arising out of or in connection with our Services is limited to proven direct losses and shall not include indirect, special, incidental or consequential losses (including lost profits, missed flights or appointments).
  • We are not liable for delays, cancellations or failure to perform due to force majeure events including but not limited to natural disasters, civil unrest, strikes, road closures, government actions, or acts of third parties beyond our control.

9. Indemnity

You agree to indemnify and hold harmless SMARTPICKUPS, its officers, employees and agents against any losses, liabilities, claims, damages and expenses (including reasonable legal fees) arising from your breach of these Terms, negligent acts, willful misconduct, or illegal acts.

10. Conduct & Refusal of Service

  • We may refuse or terminate service where a passenger is intoxicated, abusive, violent, carrying prohibited items, or otherwise poses a safety or reputational risk.
  • No refund will be offered where service is refused for such reasons, unless otherwise determined by SMARTPICKUPS in our discretion.

11. Privacy & Data Protection

We collect and process personal data necessary to provide our Services (names, contact details, trip history, payment information, etc.). We will process personal data in accordance with our Privacy Policy and applicable Nigerian data protection laws. By using our Services you consent to such processing. We will not sell your personal data to third parties; we may share necessary information with service partners or as required by law.

12. Intellectual Property

All content, branding, logos and materials on our website, app or marketing communications are owned or licensed by SMARTPICKUPS. You must not use our trademarks, logos or copyrighted material without our prior written consent.

13. Changes to Services & Terms

  • We may change, suspend or discontinue any part of the Services at any time. We will make reasonable efforts to notify customers of material changes.
  • We may update these Terms from time to time. Updated Terms will be posted on our website and will be effective on posting. Continued use of Services after changes indicates acceptance of the revised Terms.

14. Third-Party Providers & Links

We may integrate with or refer to third-party services, suppliers and websites. We do not control these third parties and accept no responsibility for their actions, content or policies.

15. Termination

We may suspend or terminate your access to the Services if you breach these Terms or for other legitimate reasons (safety, fraud prevention, legal compliance). Termination does not affect accrued rights or liabilities.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Parties shall attempt to resolve disputes amicably; if unsuccessful, disputes shall be subject to the exclusive jurisdiction of the Nigerian courts.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
